Definitions

In these terms and conditions, the following definitions apply:

a. LIMU: The trade name of LIMU Technologies, located at Gedempte Zalmhaven 311, Rotterdam The Netherlands, registered with the Chamber of Commerce under number 91507863;
b. User: The individual or legal entity that uses LIMU's Service;
c. Service: The chatbot service offered by LIMU through a website widget, capable of communicating with website visitors based on LLM (Large Language Models) application;
d. Chatbot: The computer program developed by LIMU to communicate with the User's website visitors;
e. GPT: Generative Pre-trained Transformer, a type of artificial intelligence designed to perform linguistic tasks;
f. Website: The website where LIMU's Service is offered.

These terms and conditions apply to the User's use of the Service. By using the Service, the User explicitly agrees to the applicability of these terms.
Any deviations from these terms and conditions are valid only if expressly agreed upon in writing between LIMU and the User.
If any provision in these terms and conditions is null or unenforceable, the remaining provisions remain unaffected. In that case, LIMU will establish a new provision to replace the null or unenforceable provision, as much as possible reflecting the intent of the original provision.

LIMU grants the User a non-exclusive, non-transferable right to use the Service in accordance with the provisions of these terms and the purpose of the Service.
The right of use is limited to using the Service for personal or business purposes in compliance with applicable laws and regulations.
The User shall not use the Service in a manner that infringes on LIMU's or third parties' intellectual property rights, the law, public order, morals, or other Users' rights.
The User is not allowed to grant sublicenses, reproduce, modify, reverse engineer, decompile, disassemble, or create derivative works from the Service unless expressly permitted by mandatory law.
LIMU reserves the right to suspend or terminate the User's right to use at any time in case of violation of these terms and conditions.

The User agrees to use the Service in compliance with these terms and conditions and applicable laws and regulations.
The User is responsible for the accuracy and legality of the information he provides through the Chatbot.
The User will refrain from placing, sending, or distributing content through the Chatbot that:
- infringes on LIMU's or third parties' intellectual property rights;
- is incorrect, misleading, defamatory, offensive, obscene, pornographic, threatening, or hateful;
- violates the law, public order, morals, or others' rights;
- contains viruses, malware, spyware, or other harmful components that may interfere with the operation of the Service;
- may hinder or obstruct other Users' normal use of the Service.
The User will indemnify LIMU against all third-party claims arising from or related to the User's use of the Service in violation of these terms and conditions or applicable laws and regulations.
LIMU reserves the right to remove any content that violates these terms and conditions or applicable laws and regulations at its own discretion without prior notice to the User.

All intellectual property rights regarding the Service, including but not limited to the software, chatbot, website, logos, texts, and graphic elements, belong to LIMU or its licensors.
Nothing in these terms and conditions implies any transfer of intellectual property rights to the User.
The User is not allowed to reproduce, distribute, modify, publicly disclose, sell, rent, sublicense, create derivative works from, or use any information, content, or materials obtained from or through the Service without prior written permission from LIMU.
The User retains intellectual property rights concerning the information and content he provides to LIMU through the Chatbot. By providing such information and content to LIMU, the User grants LIMU a worldwide, royalty-free, non-exclusive license to use the provided information and content for the delivery of the Service.
LIMU respects others' intellectual property rights. If the User believes his intellectual property rights are being violated by the Service, he should promptly notify LIMU.

LIMU strives to deliver the Service with due care and professionalism. However, LIMU provides no guarantees or representations regarding the accuracy, completeness, reliability, or suitability of the Service for a particular purpose.
LIMU is not liable for any direct, indirect, incidental, special, consequential, or punitive damages, loss of profits, income, data, customers, or goodwill arising from the use or inability to use the Service, regardless of the cause of the damage.
LIMU is not liable for any damage or malfunction caused by force majeure, including but not limited to natural disasters, strikes, terrorist actions, technical failures, internet interruptions, or any other circumstance beyond LIMU's reasonable control.
The total liability of LIMU to the User for all claims, damages, costs, or liabilities related to the Service is in no case higher than the amount the User actually paid to LIMU in the twelve (12) months preceding the damage.
The liability limitations set out in these terms and conditions apply regardless of whether LIMU was aware or should have been aware of the possibility of such damage.

The use of the Service is agreed for the duration as agreed between LIMU and the User, typically on an indefinite subscription basis.
Users have the right to terminate the agreement for the use of the Service base on the duration of the contract ending date. It's obligated to notify in writing. Note that in the case of termination by the User, there will be no partial refund of amounts already paid in the event of early termination.
LIMU reserves the right to suspend or terminate the Service at any time and for any reason without prior notice to the User.
LIMU reserves the right to change the prices of the service at any time and for any reason. If so, the User retains her right to terminate the agreement, without notice.
Upon termination of the agreement for any reason, the User must immediately cease using the Service and remove or destroy any access codes, passwords, or other login credentials.
Termination of the agreement does not relieve the parties of any obligations or liabilities that arose before termination.

These terms and conditions and the agreement between LIMU and the User are governed by Dutch law.
Any disputes arising out of or related to these terms and conditions or the agreement will initially be submitted to the competent courts of the Netherlands.
The parties will endeavor to resolve any disputes amicably before initiating legal proceedings.

LIMU reserves the right to change or adjust these terms and conditions at any time.
Modified terms take effect as soon as they are published on LIMU's website. It is the User's responsibility to regularly check LIMU's website for any changes.
By continuing to use the Service after modifying the terms and conditions, the User accepts the modified terms.
